SUITS Membership Agreement

This Membership Agreement (“Agreement”) is made and entered into on [insert date] (the “Effective Date”) by and between SUITS International Education (the “Organization”) and the individual (“Member”) who has applied for membership in the Organization.

  1. Membership Term: The membership term shall begin on the date the application for membership is accepted by the Organization and shall continue for one year from that date. Membership may be renewed annually upon payment of the annual membership fee.
  2. Membership Fees: The Member shall pay the annual membership fee as determined by the Organization. Membership fees are non-refundable.
  3. Membership Benefits: The Member shall be entitled to all benefits associated with membership in the Organization, including access to educational resources, mentorship opportunities, networking events, and career development workshops.
  4. Code of Conduct: The Member agrees to comply with the Organization’s code of conduct, which includes but is not limited to respecting the diversity of the membership and refraining from engaging in discriminatory, harassing, or disruptive behavior. The Member also agrees to adhere to the ethical standards and guidelines set forth by the Organization.
  5. Termination of Membership: The Organization reserves the right to terminate a Member’s membership at any time for a breach of this Agreement or for any other reason deemed appropriate by the Organization. In such cases, membership fees shall not be refunded.
  6. Use of Likeness: The Member grants the Organization the right to use the Member’s name, likeness, and/or testimonial for promotional purposes related to the Organization’s activities, subject to the Member’s prior written consent.
  7. Confidentiality: The Member agrees to maintain the confidentiality of any confidential information disclosed by the Organization or other Members during the course of membership. This includes but is not limited to trade secrets, proprietary information, and personal information of other members. The Member shall take all reasonable measures to prevent the unauthorized disclosure of such information.
  8. Intellectual Property: The Member acknowledges that all intellectual property rights in the educational resources, materials, and content provided by the Organization are owned by the Organization or its licensors. The Member shall not reproduce, distribute, or exploit such intellectual property without the prior written consent of the Organization.
  9. Disclaimer of Liability: The Organization shall not be liable for any damages, losses, or expenses arising from the Member’s participation in the Organization’s activities or events, including but not limited to personal injury or property damage. The Member acknowledges and assumes all risks associated with participation in the Organization’s activities.
  10. Governing Law and Dispute Resolution: This Agreement shall be governed by the laws of the jurisdiction where the Organization is registered. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation or arbitration in accordance with the rules of the jurisdiction where the Organization is registered.
  11. Entire Agreement: This Agreement constitutes the entire agreement between the Member and the Organization and supersedes all prior negotiations, agreements, and understandings, whether written or oral. This Agreement may only be amended by a written agreement signed by both parties.
  12. Notice: Any notice required or permitted under this Agreement shall be in writing and shall be delivered personally, by mail, or by email to the address or email address specified by the Member in the application for membership.
  13. Amendments: The Organization reserves the right to amend this Agreement at any time, in its sole discretion, with or without notice to the Member. Any amendments to this Agreement shall be effective immediately upon posting on the Organization’s website. The Member’s continued participation in the Organization after any such amendment shall constitute the Member’s acceptance of the amended Agreement.
  14. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  15. Assignment: The Member shall not assign this Agreement or any of the Member’s rights or obligations hereunder without the prior written consent of the Organization.
  16. Waiver: No failure or delay by either party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
  17. Indemnification: The Member agrees to indemnify, defend, and hold harmless the Organization, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with the Member’s breach of this Agreement, negligence, or willful misconduct.
  18. Force Majeure: The Organization shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, terrorism, embargo, strike, or other labor disturbance, failure or delay of suppliers, or governmental acts.
  19. Limitation of Liability: In no event shall the Organization be liable to the Member or any third party for any indirect, incidental, consequential, special, or punitive damages, including without limitation lost profits or business interruption, arising out of or in connection with this Agreement, even if the Organization has been advised of the possibility of such damages.
  20. Electronic Signature: This Agreement may be executed by electronic signature, which shall be considered valid and binding to the same extent as an original signature.
  21. Headings: The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.

This Membership Agreement constitutes the entire agreement between the Member and the Organization and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. The Member acknowledges that he/she has read and understands this Membership Agreement and agrees to be bound by its terms and conditions.
